1. Acceptance of Terms
By accessing or using the Helio Deal Portal (“Service”), operated by Helio Urban Development Inc. (“Helio,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you and Helio. By creating an account or using the Service, you represent that you have the authority to enter into this agreement on behalf of yourself or the organization you represent.
2. Description of Service
Helio Deal Portal is a business-to-business software-as-a-service (B2B SaaS) platform that provides institutional-grade financial analysis tools for Canadian multi-unit rental construction projects. The Service includes deal modeling, CMHC MLI Select scenario analysis, AI-assisted analysis, property mapping, and related features.
The Service is intended for use by real estate developers, investors, and financial professionals. The analyses, projections, and outputs provided by the Service are for informational purposes only and do not constitute financial, legal, or investment advice.
3. User Accounts
To access the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use automated tools to scrape, mine, or extract data from the Service without written permission
- Interfere with or disrupt the integrity or performance of the Service
- Share your account credentials or allow unauthorized third parties to access your account
5. Intellectual Property
The Service, including its design, software, algorithms, documentation, and branding, is the exclusive property of Helio Urban Development Inc. and is protected by Canadian and international intellectual property laws.
You retain ownership of the data and content you input into the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Helio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
The Service provides financial modeling tools and projections that are based on assumptions and user-provided data. Helio does not guarantee the accuracy, completeness, or reliability of any output or analysis. You are solely responsible for verifying results and making informed decisions based on your own professional judgment.
In no event shall our total liability exceed the amounts paid by you to Helio for the Service during the twelve (12) months preceding the claim.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Canadian privacy legislation.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Nova Scotia.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email to the address associated with your account. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
